Vendor Terms & Conditions: Addzena
1. Introduction
These Vendor Terms & Conditions govern the use of the Addzena platform by vendors. By registering and selling products through Addzena, the Vendor agrees to comply with these Terms & Conditions and all related policies of Addzena.
2. Vendor Eligibility
To sell products on Addzena, the Vendor must:
- Be legally authorized to conduct business.
- Provide accurate and complete registration information.
- Submit all required documentation.
- Hold valid licenses and registrations applicable to the products being sold.
3. Required Documentation
The Vendor may be required to provide:

- GST Registration Certificate (if applicable)
- FSSAI License (if applicable)
- Drug License (if applicable)
- Shop/Trade License (if applicable)
- Bank Account Details
- Any additional documents requested by Addzena
4. Product Listing Requirements
The Vendor agrees that:
- Product information must be accurate and truthful.
- Product images must represent the actual product.
- Prices must be correctly displayed.
- Product descriptions must not be misleading.
- Only legally permitted products may be listed.
5. Product Quality Standards
The Vendor shall ensure that:
- Products are genuine and safe for customers.
- Products are not expired or damaged.
- Products meet all applicable quality standards.
- The Vendor remains solely responsible for product quality.
6. Inventory Management
The Vendor shall:
- Maintain accurate stock records and update inventory regularly.
- Avoid listing unavailable products.
- Minimize order cancellations caused by stock issues.
7. Order Fulfillment
The Vendor shall:
- Accept and process orders promptly.
- Prepare orders within operational timelines.
- Pack products securely and hand them over to authorized delivery partners.
8. Packaging Requirements
The Vendor agrees to:
- Use clean and secure packaging to protect products from damage.
- Follow strict hygiene standards for all food products.
- Ensure correct products and quantities are packed.
9. Commission and Payments
- The Vendor agrees to the commission structure assigned by Addzena.
- Applicable commissions shall be deducted before settlement.
- Payments shall be made according to the agreed settlement cycle.
- Addzena reserves the right to deduct refunds, penalties, or other authorized charges from settlements.
10. Vendor Cancellation Policy
The Vendor may cancel orders only if:
- Product is out of stock, expired, or damaged.
- Product is unavailable due to inventory errors.
- Product fails quality standards.
- Note: Repeated unnecessary cancellations may result in penalties or account suspension.
11. Customer Data Protection
The Vendor shall not:
- Share, sell, or use customer information for unauthorized purposes.
- Contact customers outside of approved business activities.
- Customer information must remain confidential at all times.
12. Prohibited Activities
The Vendor shall not:
- Sell counterfeit, prohibited, or illegal products.
- Misrepresent products or pricing.
- Manipulate reviews or ratings.
- Engage in fraudulent activities or attempt to bypass the Addzena platform for platform-generated orders.
13. Compliance with Laws
The Vendor agrees to comply with all applicable Indian laws, including GST regulations, FSSAI requirements, consumer protection laws, and any other relevant regulations.
14. Intellectual Property
The Vendor shall not use Addzena’s name, logo, trademarks, branding, or intellectual property without prior written permission from the Company.
15. Confidentiality
The Vendor shall keep all customer information, business information, commission structures, operational procedures, and internal policies confidential. This obligation continues after the business relationship ends.
16. Penalties
Addzena reserves the right to impose penalties for repeated cancellations, inventory inaccuracies, product quality violations, fraudulent activities, customer data misuse, or any other policy violations.
17. Suspension and Termination
Addzena may suspend or terminate a Vendor account for:
- Providing false information.
- Expiration of required licenses.
- Suspected fraud or policy violations.
- Excessive customer complaints.
18. Limitation of Liability
Addzena operates as a technology platform connecting customers, vendors, and delivery partners. The Vendor remains solely responsible for product quality, legality, packaging, descriptions, and regulatory compliance.
19. Policy Changes
Addzena reserves the right to update or modify these Terms & Conditions at any time. Updated versions become effective upon publication on the platform.
20. Governing Law and Jurisdiction
These Terms & Conditions are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Kasganj, Uttar Pradesh.
