General Disclaimer

This Vendor Disclaimer applies to all vendors, sellers, stores, and businesses operating through Addzena, a platform operated by Wellmeds Pharmacare Private Limited. By registering as a vendor on the platform, the vendor acknowledges and agrees to the terms of this Disclaimer.

Independent Vendor Status

Vendors operate as independent businesses and are not employees, agents, partners, or representatives of Addzena. Nothing in the vendor relationship shall be interpreted as creating an employment, partnership, franchise, or joint venture relationship.

Product Responsibility

Vendors are solely responsible for:

  • Product quality, authenticity, and safety.
  • Product packaging, descriptions, and pricing.
  • Product availability.
  • Compliance with applicable laws and regulations.

Addzena acts only as a technology and marketplace platform and does not manufacture, own, inspect, or control vendor products.

Licenses and Compliance

Vendors are responsible for obtaining and maintaining all required licenses, registrations, permits, and approvals, including but not limited to:

  • GST Registration (where applicable).
  • FSSAI License.
  • Drug License (where applicable).
  • Trade License.
  • Any other licenses required by law. The vendor shall remain solely responsible for legal compliance.

Stock Accuracy

Vendors must maintain accurate inventory information on the vendor panel. Addzena shall not be liable for losses, cancellations, customer complaints, or business disruptions resulting from incorrect stock information provided by the vendor.

Packaging Responsibility

Vendors are responsible for proper packaging, safe handling, and ensuring that products are leak-proof and damage-resistant. Any issues arising from improper packaging shall remain the responsibility of the vendor.

Delivery Responsibility

Once an order is handed over to an authorized delivery partner, delivery operations shall be managed through the platform. However, vendors remain responsible for preparing and handing over the correct products in good condition.

No Guarantee of Sales

Addzena does not guarantee minimum sales volume, customer traffic, order frequency, revenue levels, or business profits. Vendor performance may vary depending on market conditions, customer demand, pricing, product quality, and other factors.

Platform Availability

Addzena may temporarily suspend, modify, update, or discontinue platform features, services, or operations without prior notice for maintenance, security, operational, or legal reasons.

Limitation of Liability

To the maximum extent permitted by law, Addzena shall not be liable for:

  • Vendor business losses or loss of revenue/profits.
  • Customer disputes arising from vendor products.
  • Product quality issues.
  • Regulatory actions caused by vendor non-compliance.
  • Indirect or consequential damages.

Data and Confidentiality

Vendors must maintain strict confidentiality regarding customer information, platform information, business data, pricing structures, and internal operational information. Unauthorized disclosure or misuse may result in termination and legal action.

Suspension and Termination

Addzena reserves the right to suspend, restrict, or terminate vendor accounts for:

  • Fraudulent activity or sale of prohibited products.
  • Repeated customer complaints.
  • Policy violations or legal non-compliance.
  • Misuse of platform services.

Changes to Disclaimer

Addzena reserves the right to modify this Disclaimer at any time. Continued use of the platform after updates constitutes acceptance of the revised terms.
