NON-DISCLOSURE AGREEMENT (UNILATERAL)

This Non-Disclosure Agreement (“Agreement”) is made on [Date] between:

1. Disclosing Party

Wellmeds Pharmacare Private Limited, having its registered office at Pavsara, New Basti, Amapur Road, Kasganj – 207123, Uttar Pradesh, India, hereinafter referred to as the “Company”.

AND

2. Receiving Party

[Vendor/Store Name], owned by [Owner Name], having its business address at [Vendor Address], hereinafter referred to as the “Vendor”.

1. Purpose

The Vendor will receive access to confidential business information of the Company for the purpose of onboarding, selling products, managing inventory, and operating through the Company’s e-commerce platform.

2. Definition of Confidential Information

“Confidential Information” includes but is not limited to:

  • Customer data and order details
  • Pricing structure and commission rates
  • Business strategies and operational models
  • Vendor panel access credentials and system data
  • Delivery and logistics processes
  • Marketing plans and internal reports
  • Any non-public business or technical information shared by the Company

3. Obligations of Vendor

The Vendor agrees that:

  • They shall not disclose, share, sell, or transfer any Confidential Information to any third party
  • They shall use Confidential Information only for platform-related business purposes
  • They shall not copy, reproduce, or misuse Company data
  • They shall maintain strict confidentiality of login credentials and system access
  • They shall immediately report any unauthorized access or data breach

4. Restrictions

The Vendor shall NOT:

  • Use Company data for personal or competitor business advantage
  • Share customer information outside the platform
  • Reverse engineer, copy, or replicate the Company’s business model
  • Contact Company customers directly for personal sales

5. Ownership of Information

All confidential Information remains the sole property of the Company. No rights or ownership are transferred to the Vendor under this Agreement.

6. Duration

This Agreement shall remain valid during the Vendor’s association with the Company and shall continue for 2 years after termination of the relationship.

7. Breach of Agreement

In case of breach:

  • The Company reserves the right to terminate the Vendor account immediately
  • Legal action may be initiated under applicable Indian laws
  • Vendor may be liable for damages, penalties, and loss compensation

8. Return of Information

Upon termination of partnership, the Vendor must:

  • Stop using all Confidential Information
  • Delete or return all Company data in their possession

9. No License

This Agreement does not grant the Vendor any ownership or license rights over Company systems, data, or intellectual property.

10. Governing Law

This Agreement shall be governed by the laws of India, and disputes shall fall under the jurisdiction of Kasganj, Uttar Pradesh courts.

11. Acceptance

By registering and operating on the Company’s platform, the Vendor agrees to be legally bound by this NDA.
